Customer-Supplied Artwork
When you provide Keener Marketing with a logo, photograph, illustration, font, document, design, trademark, slogan, text, mailing piece, or other material, you represent that you own the material or have obtained sufficient permission or licensing to use and reproduce it for the requested project. Keener Marketing is entitled to rely upon that representation unless we have reason to believe otherwise.
Permission to Produce Your Order
By submitting customer-owned material for a project, you grant Keener Marketing a limited, non-exclusive license to reproduce, modify as instructed, format, process, print, manufacture, transmit to necessary production partners, and otherwise use that material solely as reasonably necessary to complete your requested services.
Submitting artwork to Keener Marketing does not transfer ownership of the customer’s underlying intellectual-property rights to Keener Marketing.
Keener Marketing Designs
Unless otherwise agreed in writing, original designs, layouts, illustrations, templates, concepts, artwork, graphics, and other creative materials developed or owned by Keener Marketing remain the intellectual property of Keener Marketing.
Payment for printed products or design services does not automatically transfer copyright ownership, source files, editable files, templates, or unrestricted reproduction rights. Keener Marketing’s original designs may not be reproduced through another printer or other means without permission.
Licensed Reproduction Rights
In certain circumstances, Keener Marketing may permit a customer to purchase or receive a limited license to reproduce a particular design or PDF through another authorized printing arrangement.
Any such permission must be expressly granted by Keener Marketing and may be subject to additional fees, quantity restrictions, permitted-use limitations, or other licensing terms. A license to reproduce a design does not transfer copyright ownership unless Keener Marketing expressly agrees to such transfer in writing.
Source and Editable Files
Unless expressly included in a written quote or project agreement, editable source files, working files, layered files, design templates, production files, fonts, licensed stock elements, and similar internal production materials are not automatically included with the purchase of finished products.
If a customer requires editable files or expanded reproduction rights, those requirements should be discussed before the project begins.
Stock Photography, Fonts, and Third-Party Assets
A Keener Marketing project may contain stock photography, typefaces, illustrations, templates, software-generated assets, or other material licensed from third parties. These materials remain subject to the applicable third-party licensing terms.
Keener Marketing cannot grant a customer rights beyond the rights Keener Marketing is legally permitted to sublicense or transfer.
Proofs
Proofs are provided for review and approval and are not necessarily licensed for independent reproduction. A proof should not be printed commercially, distributed as a finished product, provided to another printer for reproduction, or materially altered for commercial use unless Keener Marketing has granted permission.
Customer Responsibility for Content
Customers are responsible for the legality and accuracy of content submitted for production. Keener Marketing reserves the right to decline material that we reasonably believe infringes copyright, trademark, privacy, publicity, or other rights; violates applicable law; or exposes Keener Marketing to unreasonable legal risk.
Copyright or Trademark Complaints
If you believe material appearing on Keener Marketing’s website or in a Keener Marketing-controlled publication infringes your intellectual-property rights, please contact us with sufficient information to identify the material and explain the basis of your claim. Keener Marketing may request documentation demonstrating ownership or authorization before taking action.
File Storage
Customers should retain their own original copies of artwork and important project files. Although Keener Marketing may retain certain files for business or production purposes, we do not guarantee indefinite archival or future availability of artwork, source files, customer uploads, or production files.
